| JAMES
P. FLAHERTY, a Founder and Chairman of the Boards of Black
Rock Capital, LLC, Black Rock Capital (Ireland) Limited and Black Rock Capital
(UK) Limited, is based in the company’s London office and,
in addition to his duties as Chairman, directs BRC’s
international operations. Mr. Flaherty, also, serves as the Managing Director
of Cannon Capital Limited, a London based operator of nursing homes in the
UK and Northern Ireland. From 1991 until the incorporation of BRC,
Mr. Flaherty was the chief executive and founder of Pareto Partners, a London
based investment management firm. Mr. Flaherty was responsible for the capitalization,
regulation and administration of the firm, a manager of $8 billion in assets.
Prior to the establishment of Pareto, Mr. Flaherty was employed by American Express Bank Ltd. for six years in a number of senior management capacities, including Deputy President and Chief Operating Officer, Chief Executive Officer for Europe, Middle East and Africa, and President of American Express Bank Switzerland. From 1974 until 1985 Mr. Flaherty was employed by State National Bank of Connecticut and its successor, Connecticut Bank & Trust Co., as Executive Vice President responsible for the bank's branch network, consumer lending and mortgage portfolios, and private banking and trust activities. He also served at various times as senior lending officer and head of the multi-national lending division. Mr. Flaherty began his career in 1969 as a lending officer with Franklin National Bank. He holds a B. A. degree in English Literature from Fordham University and a M. B. A. in Finance from Pace University. |

GEORGE K. BOOTH,a Founder, Managing Director and Chief Executive Officer of Black Rock Capital, LLC, Black Rock Capital (Ireland) Limited and Black Rock Capital (UK) Limited and a member of the Board of Directors, is based in the company’s headquarters in Bridgeport, Connecticut. From 1985 until the incorporation of BRC, Mr. Booth served as Executive Vice President and Chief Financial Officer and a member of the Board of Directors of Phoenixcor Holdings, Inc., a middle market leasing and commercial finance company with specific interests in the graphic arts, packaging and paper converting industries. Mr. Booth contributed to the company's growth through the arrangement of debt and equity including over $400 million in securitizations and other off balance sheet vehicles, and finally assisted in negotiating the sale of the majority of the company's stock to The Sumitomo Group. Prior to joining Phoenixcor, Mr. Booth was an Executive Vice President with International Capital Equipment Corporation (ICE), a public provider of residual value guarantees. At ICE, Mr. Booth was responsible for the development of manufacturer and vendor programs, international business and strategic planning. Mr. Booth also arranged the worldwide customer financing activities and internal asset-based financing needs for Harris Corporation, and was engaged in corporate lending, leveraged buyouts and facilities leveraged leasing with G. E. Capital. Mr. Booth began his career in 1970 as a National Division Lending Officer with Franklin National Bank in New York. Mr. Booth holds a B. A. degree in Economics from C. W. Post College and M. B. A. degree in Finance from Fordham University. |

Prior to the founding of the Fairfield First Bank & Trust Company, Mr. Gill was a First Vice President of the Connecticut Bank & Trust Co. with responsibility for all lending and branch operations in the Stamford area. Also, he served as a senior-calling officer in the Bank’s national division. From 1976 to 1982, Mr. Gill was the Director of Economic Development for the City of Bridgeport with responsibility for the planning and implementation of the city’s Economic Development Program. In this capacity he worked closely with Bridgeport area business leaders and federal and state officials. Mr. Gill began his career as a lending officer with the State National Bank of Connecticut. Mr. Gill holds a B. A. in Economics from the University of Bridgeport and a Graduate Degree in Banking from the University of Wisconsin. |

L. ELLIOTT GOLDSTEIN, Special Counsel and Corporate Secretary of Black Rock Capital, LLC, has been associated with BRC since December 1997. Prior to his association with BRC, Mr. Goldstein was Senior Vice President-General Counsel and Corporate Secretary of Phoenixcor Holdings, Inc., a middle market leasing and commercial finance company with specific interests in graphic arts, packaging and paper converting industries. Mr. Goldstein, also, served as a senior partner at Becker, Goldstein and Graff, a commercial law practice located in New York City. He received a Bachelor of Science from New York University and a Juris Doctorate from Fordham University. Mr. Goldstein is a member of the following organizations: Association of the Bar of the City of New York, the New York County Lawyers Association (formerly on Arbitration and Mediation Committee), Arbitrator-American Arbitration Association. |

Ms. Booth’s functions in accounting and treasury operations include collections, accounts payable, bank relationships and asset and liability management for all Black Rock Capital companies. Ms. Booth holds a Bachelor of Arts degree in English from Fairfield University. |

MARJORIE A. DAY, Administrative Assistant of Black Rock Capital, LLC, joined BRC in March 2004. Before joining BRC, Ms. Day held the position of Assistant to the Chief Operating Officer with Mafcote, Inc. LLC, an international conglomerate involved in a variety of paper coating and stationery products. Ms. Day, also, served as the Assistant to the Chief Financial Officer of PhoenixcorHoldings, Inc., a middle market commercial finance and leasing company with specific interests in graphic arts and packaging. Subsequent to leaving Phoenixcor, Ms. Day had responsibility for the company’s cash management. Ms. Day’s responsibilities
at BRC include insurance, documentation, file management,
Librarian, financial statement updates and customer relations. |

Prior to joining BRC, Mr. Bellew was Director of Business Development at United States Investigations Services (USIS) which is the first of the United States government’s effort to privatize elements of government agencies. Mr. Bellew also spent 18 years with a subsidiary company of Borg-Warner Security Services Corporation having risen to Vice President of Financial Sales prior to his moving to USIS. After spending three years running the Philadelphia operation, he moved to Corporate Headquarters where he spent the next 15 years in increasingly responsible sales management positions. Mr. Bellew also spent four years in the International Marketing Group of General Dynamics Corporation. Mr. Bellew holds a Bachelor of Science degree in Economics from Mount Saint Mary’s College. |

New York office. Mr. Booth is a former New York State Trooper having attained the rank of Senior Inspector in the area of forensics. In addition to his duties in the field, Mr. Booth, also, taught a variety of forensic and crime scene classes at the New York State Trooper Police Academy. During his varied career in law enforcement, Mr. Booth has, also, been involved and solved a number of fraud cases involving a broad range of accounting and tax issues in a variety of industries. In addition to Mr. Booth’s association with BRC, Mr. Booth is a Principal with The Northeast Forensics Group, LLC, a private consulting firm which stages seminars in a variety of crime scene and police procedures for domestic and international police forces. GUINNESS JANE BOOTH, Vice President - Security of Black Rock Capital, LLC joined BRC in March of 2000. Prior to joining BRC Ms. Booth ran household security at a private residence in Southport, Connecticut. Ms. Booth is in charge of both internal and external security at BRC, and has instituted a "Visitor Arrival Awareness" policy which she vehemently enforces. In addition to her responsibilities at BRC, Ms. Booth continues her work in the private sector. Ms. Booth holds a certificate of completion from Fairfield Obedience School. |
